24 B if-LA WS. ' iv. The Board shall appoint from the Directors a Treasurer and a Secretary, Who shall perform their duties subject to its control. V. The Board of Direction shall have and exercise a general superintendence of the affairs of the Club, shall control and manage its property and effects, and enforce the preservation of order and obedience to the rules. It shall make all neces- sary purchases and contracts, but shall have no power to make the Club liable for any debt to an amount beyond that Which, at the time of con- tracting the same, shall be in the Treasurer's hands in cash and not subject to prior liabilities. vi. The Board of Direction, of which five shall be a quorum, shall meet at least once in every month for the transaction of business. The Secretary shall keep minutes of the proceedings, andalso of all other matters which may concern the Club. VII. The Treasurer shall prepare two copies of his semi-annual accounts, brought -up to the first day of April in each year, exhibiting in detail the receipts and expenditures ofthe preceding year, the balance of money in hand, and the existing debts of the Club, one of which copies shall be

BY-LAWS. OF TI-IE BOARD OF DIRECTION. I. The affairs of the Club shall be managed by a Board of Direction, consisting of the President and eight Directors, who shall be nominated and elected by the Club at the stated meeting in April in every year, except in the cases hereinafter provided for. The Tellers at such election shall count no ballots except those cast for candidates previously nominated. The Board shall continue to serve until a new Board be regularly elected. II. The President of the Club shall be ex--ojiicio a Director and the presiding ofhcer of the Board. III. If the office of the President become vacant, the Board shall call a special meeting of the Club to elect a President. If other vacancies occur in the Board, the remaining Directors shall choose members of the Club to lill the said 'vacancies until the next electiong but, should more than three vacancies occur in the interval between the stated April meetings of the Club, the Board, or the remaining members thereof, shall call a spe- cial meeting of the Club for an election to fill all the said vacancies. 4235

I VIII. The stated annual meeting of the Club shall be held on the second Monday of April of each year, at' such hour as the Board of Direction by notice shall appoint. IX. All elections for President, Directors, or mem- bers of the Elective Committee shall be by ballot, and a plurality of votes shall be sufficient to elect. The Chairman shall be chosen by the meeting and shall appoint Tellers to conduct the election. At such elections the polls shall be kept open at least two hours, unless otherwise ordered by a vote of three-fourths of the members present. X. p At every stated meeting the Board shall report its proceedings during the previous term, and recommend such measures as it may deem advis- able. T he Treasurer shall make his report of the finances ofthe Club as presented to the Auditors ,' together with a supplemental statement to the date of the meeting. '
