ACT OF THE LEGISLATURE OF PENNSYLVANIA, Incovfpomtivfzfg the PhfiZadeZphiia Association and Reading Room, approved the eighth day of .May, 1850. l SECTION 2. That Hyman Gratz, Charles F. Lex, Samuel B. Thomas, John Biddle, M. D., Joseph Swift, and their associates, be and they are hereby' created a body corporate and politic, with the name, style and title of 'The Philadel- phia Association and Reading Roomf with au- thority to elect officers and to establish By-Laws for their government, and to hold real estate, the yearly value of which shall not exceed three thou- sand dollarsg provided that nothing herein con- tained shall be so construed as to authorize said 'Philadelphia Association and Reading Room' to do any other act or acts, in their corporate ca- pacity, than are herein expressed. fPa1fnphZet Laws, 18542, page 726.1 By a decree of the Court of Quarter Sessions for the City and County of Philadelphia, made the 25th of May, 1859, the name and title of The Philadelphia Association and Reading Room was changed to that of THE PHILADELPHIA CLUB,H with the same privileges, powers and au- thorities to which it was lawfully entitled under the former name. The affairs of the Club shall be managed by a Board of Direction, consisting of the President and eight Directors, who shall be nominated and elected by the Club at the stated meeting in April in every year, except in the cases hereinafter provided for. The Tellers at such election shall count no ballots except those cast for candidates previously nominated. The Board shall continue to serve until a new Board be regularly elected. II. The President of the Club shall be ex--ojiicio a Director and the presiding ofhcer of the Board. III. If the office of the President become vacant, the Board shall call a special meeting of the Club to elect a President. If other vacancies occur in the Board, the remaining Directors shall choose members of the Club to lill the said 'vacancies until the next electiong but, should more than three vacancies occur in the interval between the stated April meetings of the Club, the Board, or the remaining members thereof, shall call a spe- cial meeting of the Club for an election to fill all the said vacancies. 4235 24 B if-LA WS. ' iv. The Board shall appoint from the Directors a Treasurer and a Secretary, Who shall perform their duties subject to its control. V. The Board of Direction shall have and exercise a general superintendence of the affairs of the Club, shall control and manage its property and effects, and enforce the preservation of order and obedience to the rules. It shall make all neces- sary purchases and contracts, but shall have no power to make the Club liable for any debt to an amount beyond that Which, at the time of con- tracting the same, shall be in the Treasurer's hands in cash and not subject to prior liabilities. vi. The Board of Direction, of which five shall be a quorum, shall meet at least once in every month for the transaction of business. The Secretary shall keep minutes of the proceedings, andalso of all other matters which may concern the Club. VII. The Treasurer shall prepare two copies of his semi-annual accounts, brought -up to the first day of April in each year, exhibiting in detail the receipts and expenditures ofthe preceding year, the balance of money in hand, and the existing debts of the Club, one of which copies shall be By-LA WS. 25 laid upon the table for inspection by members during at least one week immediately before the stated meeting next following the said date, and the other at the same time presented to the Auditors. , , OF MEETINGS OF THE CLUB. I VIII. The stated annual meeting of the Club shall be held on the second Monday of April of each year, at' such hour as the Board of Direction by notice shall appoint. IX. All elections for President, Directors, or mem- bers of the Elective Committee shall be by ballot, and a plurality of votes shall be sufficient to elect. The Chairman shall be chosen by the meeting and shall appoint Tellers to conduct the election. At such elections the polls shall be kept open at least two hours, unless otherwise ordered by a vote of three-fourths of the members present. X. p At every stated meeting the Board shall report its proceedings during the previous term, and recommend such measures as it may deem advis- able. T he Treasurer shall make his report of the finances ofthe Club as presented to the Auditors ,' together with a supplemental statement to the date of the meeting. ' 25 B Y-LA WS. XI. - At every stated meeting three Auditors shall be appointed to serve for one year, or until new Auditors be regularly chosen. The duty of the said Auditors shall be to audit and settle the ac- counts of the Treasurer and to present their re- ports thereof to the next stated meeting. They shall have power to lill vacancies in their number, and two of them shall be a quorum. XII. At the stated meeting of the Club, after organi- zation, the order ofbusiness, so far as the nature and character of the meeting may admit, shall be as follows:- 1. Reading the minutes of the last stated meeting, and of every special meet- ing subsequent thereto. 2. Report of the Board of Direction. 3. Report of the Treasurer. 4. Report of the Auditors thereon. . Reports of Committees. . The appointment of Auditors. r . New business. . Election of the Board of Direction and Elective Committee. A 5 6 7 8 Provided, That this order of business may be on motion changed by a majority of the meeting. l B if-LA WS. 27 I XIII. A notice of every meeting of the Club, Whether stated or special, shall be posted upon the bulletin board at least ten days before the time assigned for such meeting, and a copy mailed to each member. - XIV. It shall be the duty of the Board to call a special meeting of the Club, upon the Written request of ten members, and such a meeting may also be called Whenever the Board may deem it expedient. XV. The notice of a special meeting shall specify the time, and also the purpose for which it may be called, and such meeting shall not consider, nor take action on, any matter other than that specified in the said notice. XVI. At any meeting of the Club for action on the conduct of a member which may involve his ex- pulsion, or for an alteration of the By-Laws, one- fifth of the Whole number of resident members of the Club shall be a quorum. For the transac- tion of any other business, thirty resident mem- bers shall be a quorum. XVII. No stranger shall be present at any meeting of the Club. 2 3 B Y-LA WS. IClfIII. Subjects not concerning the Club shall notlbe proposed nor considered at any meeting. ICIIC. ' A motion involving the expulsion of a member shall be' decided by ballot, and the decision of a majority shall be final. Proxies shall not be permitted. or MEMBERS. ' ICICI. 1 The number of members of the Club is limited to five hundred. i 5C5iII. . l No person under twenty-one years of age shall be a member of the Club. ICPQIII. Members may be either resident or non-resi- dent, but non-residents shall not have the right of voting, and on and after the first day of May, one thousand eight hundred and eighty-live, no person shall be elected, nor become, a non-resi- dent member. ' B Y-LA WS. 29 XXIV. The entrance money to be paid upon admission into the Club shall be tvvo hundred dollars. IXXV. The semi-annual subscription shall be due and payable in advance upon the first days of April and October in every year, and shall be fortydive dollars by every resident and twenty-tive dollars by every non-resident member: Provided, how- ever, 'lfhat a. member elected during the last t.hree months of the half-yearly term shall in respect of the current term, pay but one-half of the amount of his semi-annual subscription. XXVI. A non-resident member, on becoming a resi- dent of the city of Philadelphia, shall pay a further sum of fifty dollars and all the subsequent dues of a resident member. -' XXVII, Absence from the United States shall not exempt members from the payment of their sub- scriptions XXVIII. An account shall be kept of all sums due to the Club by members or others having-the 30 B Y-LA WS. privilege of the Club, and on the first day of each month Cor oftener if the Board shall so directj a bill shall be sent to each person so indebted, which shall be payable within thirty days. XXIX. No games shall be played in the Club-house between twelve o'clock on Saturday night and the opening of the house on the neXt Monday morning. A No member shall give any money or gratuity to a servant of the Club. I XXXI. No member shall receive any profit, salary, or emolument from the funds of the Club. l XXX11. All resignations shall be made in writing to the Board of Direction, and all interest in the prop- erty of the Club, of members resigning or other- wise ceasing to be members, shall be vested in the Club. OF THE ELECTION OF MEMBERS. XXXI11. N New members shall be elected by a committee to be composed of seven members of the Club Qof B Y-LA WS. 3 I whom five shall be a quorum for businessj, who shall be chosen as Directors are now chosen, at the stated meeting in April of every year. XXXIV. The committee shall ill vacancies which may occur in its own body by choosing members of the Club to Hll the said vacancies, and shall con- tinue to serve until a new committee be regularly elected. ' XXXV. A candidate for membefsiiip may be proposed to the committee by any member of the Club, who shall state in writing the name and residence of the proposed candidate. , XXXVI. lf the committee, by unanimous consent, shall decide to receive the person proposed as a candi- date, it shall cause his name, with the date, to be registered in a book set apart for the purpose, and to be posted on the bulletin board during two weeks, after which time the committee, by a unanimous vote, may elect him a member of the Club. , XXXVII. If the vote be not unanimous, the candidate shall be rejected, and shall not be renominated within one year thereafter. 32 1 By'LAW5'. CXXXVIII. A member elected shall be forthwith notified of his election by thepSecretary, Who shall at the same time furnish himfwith a copyof the By- Laws, and request fhim to pay to the Treasurer his entrance money and semi-annual subscription in advance. H XXXIX. The payment of these sums to the Treasurer shall entitle the person elected to membership of the Club, and shall be evidence of his assent to the By-Laws. XL. A Any person who shall receive the notice of his election and a copy of the By-Laws of the Club, and shall not, Within thirty days thereafter, make payment as aforesaid, shall forfeit all rights acquired by his election. OF STRANGERS. X L I . A member may introduce a stranger to the Club, and shall thereon register in a book to be kept for that purpose the name and residence of such stranger and the date of such introduction, to all Which the said member shall affixlhis own nameg and he shall also, When-convenient, pre- sent the stranger to one or more of the Board.. B Y-LA WS. 33 . ' ' XLII. Such introduction shall not confer any right of re-entrance, but the Board of Direction mayin its discretion, give a written invitation to any stranger for ten days which shall not be renewed within two months, or for one month which shall not be renewed within six monthsfi XLIII. At the written request of five members, one of whom shall sign himself responsible as in By-Law XLVL, a quorum of the Board, by a unanimous vote by ballot,lmay extend to any stranger who may have been previously invited to the Club for ten days or a month, the ,privilege of admission for a period of one, two, or three months more: Provided, That such privilege shall not be enjoyed until after the payment to the Treasurer of ten dollars for each month specified in such request: Arid previded further, That in the case of ofhcers of the Army and Navy of the United States stationed here, invitations may be issued for six months, with the privilege of renewals for like periods, and that the monthly payment shall be ive dollars instead of ten dollars: And provided further, That such privilege may be withdrawn at anytime by the Board. XLIV. Residents of the city of Philadelphia, not being members, shall not be admitted to the Club more 34 BY-LA WS. than once in any one year save to an entertain- ment given in a private room, When the number of such residents shall not exceed one-fourth of the company present: Provided, That the Board may, at any time in its discretion suspend the operation. of this By-Law. XLV. The Board may admit to the Club, by Written invitation, any foreign diplomatic agent accred- ited to the Government of the United States, of Which the Secretary shall make a minute. I XLVI. A member introducing a stranger to the Club, or procuring for him an invitation from the Board, shall be liable for all his debts to the Club. . XLVII. A No stranger nor visitor shall give any gratuity to a servant of the Club. XLVIII. . On any infraction of the above By-Laws, the Board shall notify the offender, through his intro- ducer, that he can no longer enjoy the privileges of the Club..J l B Y-LA IVS. 35 .3 PAINS AND PENALTIES. XLIX. If the conduct of a member be disorderly, or injurious to the interest of the Club, or contrary to its By-Laws, the Board shall inform him there- of in Writingg and if the nature of the offence require it, shall request him to resign. L. Should such information or request be disre- garded, the Board shall refer the matter to the next stated meeting of the Club, or to a special meeting to be called for the purpose, of which due notice shall be given to the offending member. LI. At such meeting the circumstances of the case shall be considered, and the member may be ex- pelled. LII. The Board of Direction, by a unanimous vote by ballot of all its members, may expel a member of the Club for an infraction of By-Law Number XXXI., or for intentional Violation of the By- Laws relating to the ballot, or for other gross misconduct, immediate notice of Which expulsion shall be given him. Such expulsion shall be final, unless reversed. by a special meeting of the 35 5 Y-LA WS. Club, Which, at the Written request of the mem- ber so expelled, made Within thirty days there- after, shall be called by the Board. A copy of the notice of the said meeting shall be sent to the offender, Who shall have the right to be present and heard thereat. LIII.N If any member neglect for a period of thirty days to pay his just debts to the Club, the Secre- tary shall send him a Written notice of the claim. If the debt be not paid Within one Week after the date of suchnotice, the name of the member shall be posted on the notice board, with the statement of the amount due, and the nature of the debt, and after his name shall have been posted no further credit shall be allowed. If within thirty days from such posting the debt be not paid, the delinquent shall, fipso facto, cease to be a member of the Club: Provided, That upon his Written application, and the payment of all dues to the date thereof, the Board in its discretion, and upon such terms as it may think necessary, may remit the penalty of this By-Law. Of all Which the Secretary shall make, a minute. LIV. The Board of Direction, by an affirmative vote of at least five C55 of its members, may suspend a member of the Club for any infraction of the By- .:-3. ' OF AMENDMENTS. LV. The Club' House shall be open for the reception of members every day from the Ist of April to the ISlL of October, at 7 o'clock A. M., and from the Ist of October to the ISt of April at 8 o'clock It shall be closed throughout the year o'clock A. M., after which there shall be no admission, but this House rule shall not affect those who at such time may be Within the Club premises-. Dogs shall not be allowed in the Club House nor on the premises. I ' Subscription papers shall not be exposed nor circulated in the Club House. No person shall take from the Club House a newspaper, pamphlet, book, or other article the property of the Club, nor mutilate, deface, nor destroy the same. , On all Wines brought into the Club by mem- bers, corkage will be charged at the rate of twenty-five cents for pints, and., iifty cents for quarts. 4413 J' 42 H0 055 RULES. Reasonable notice of any entertainment in a private dining room should be given to the Steward. The cost ofthe private dining room will be the actual cost of the additional service required. Meals for fewer than six' persons cannot be served in a private dining room. No hot dish will be served after I o'elock A. M. No .guest shall give an entertainment in the Club Houseq No smoking will be permitted in the dining room of the Club. Refreshments, wines, or liquors shall not be served in the reading rooms' or the bed rooms, and shall not be sent out of the House to any but members. Smoking of pipes Will not be permitted in the reading rooms. No games of hazard, faro, loo, brag, poker, nor any other round or bankingxgame shall be played in the Club House or on the premises. A bridge vvhist or euchre table consisting of live players shall be considered as made up. HOUSE RULES. 43 No game of cards of any description shall be played in the Club House except in the card room. Every person playing cards shall pay to the Club thirty-five cents for every 'day he .may play. ' ' Billiards shall be charged for at the rate of thirty cents per hourg bottle pool at the rate of sixty cents per hourg and all other pool at the rate of fifty cents per hourg and when three games of billiards, or three games of fifteen-ball pool, or fifty points of continuous pool have been played, the table shall be resigned to others who may desire to play. The barber shop Will be open from 8.30 A. M. until 7.oo P. M. on Week-daysg on Sundays the hours are from 9 A. M. until 1.oo P, M. Mem-Q bers Will be served according to the time they have been Waiting in the Club House. The private bedrooms can be engaged upon application at the office. No member shall be entitled to engage a room for more than two consecutive nights Within the period of seven days, and it must be stated in advance the length of time for which the room is desired. After occupying a room for two consecutive nights a member may, after 5 P. M. of the 44 HOUSE RULES. afternoon following, re-engage the same or other room for another night, provided the same shall not be already engaged. Every member on vacating at room, or Whose time may have ex- pired, shall remove his property therefrom forthwith, otherwise the same will be removed and held subject to the order of the member. They were joined later by another party of gentlemen who met at Mrs. Arney's Coffee House, at Sixth and Minor Streets, and early in 1834 removed to the old Adelphi Building, on the west side of Fifth Street, below Walnut Cnow No. 212 South Fifth Streetb. At this time they adopted the name of The Adelphi Club, and on March 2ISt, 1834, held their first recorded meeting for the purpose of organizing and adopting a Con- stitution and By-Lawsq At this meeting the following gentlemen, who may fairly be regarded as the Founders of the Philadelphia Club, were present :-- Henry Bohlen, Thomas W. Francis, George Cadwalader, P. L. Laguerenne, Henry Chancellor, james Markoe, William F. Clemson, Henry Pratt McKean, George C. Craig, james McMurtrie, George Follin, Henry Ralston, Thomas Rotch. f47l 48 CLUB HISTORY. Alt the next meeting, held March 28th, 1834, the Hrst Board of Directors was chosen, namely:- Edward S. Burd, Chairman, Henry Bohlen, George Cadwalader, William M. Camac, George Follin, James Markoe, Henry Ralston. 3 0 . In April, 1835, the Club rented the old Bon- aparte House Qso called from having been at one time the residence of Joseph Bonapartej, at No. 260 Cthen No. 1565 South Ninth Street. Shortly after moving into its new quarters, the name of the Club was changed to The Philadelphia Club, by which name it continued to be known until its incorporation in 1850. In March, 1843, the Club moved to the house in Walnut Street below Tenth, afterwards the residence of Mr. tl. Francis Fisher, No. 919 Walnut Street. V In 1845 the Union Club, which occupied a house at the southwest corner of Tenth and Walnut Streets, where the Western Saving Fund now stands, broke up, and most of its members joined The Philadelphia Club. ,M On May 8th, 18 50, the Club was incorporated under the name of The Philadelphia Associa- tion and Reading Room, and on July 15th, 18 50, purchased the present Club house, No. 1301 Walnut Street, then known as the Butler CLUB IIISTOR Y. 49 House. This house had been 'the property of Thomas Butler, only son of Major Pierce Butler, the iirst of that name in this country, who- came here from Ireland in 1765, and Was after-- wards Senator from South Carolina. Thomas Butler began to build the present. Club House, in the most expensive manner, as a. residence for himself, but died in 1838, leaving it unfinished, in his will he directed his trustees, Col. VVilliam Drayton and the Hon. john Ser- geant, to finish it according to his plans. It. then became the property of his son, Louis Butler, who, however, never occupied it, the house was used for a time as a boarding house, and subsequently as an young ladies' boarding school. The deed to The Philadelphia Association and Reading Room was dated November 18th, 18 5o, and on the same day the Club House was first opened to members. The first meeting of the Board of Directors in the new Club House was held on November zzd, 1850, and early in the following year the Club gave an opening ball. Notwithstanding its corporate title, the Club was very generally called UT he Philadelphia Club, even ine the official minutes of meetings,- and in accordance with a resolution adopted at a stated meeting of the Club, Aprili4th, I85Q, the name and title of The Philadelphia Asso- ciation and Reading Room was by a decree of 50 CLUB HISTORY the Court of Quarter Sessions for the City and County of Philadelphia, made the twenty-fifth day of May, ISSQ, changed to that of The Philadelphia Club.
