Board Of Trustees The governance of the College of Santa Fe is ultimately entrusted to the Board of Trustees. The Board of Trustees of the Corporation shall manage the business and affairs of the Corporation and the College of Santa Fe, and shall exercise all the rights, powers, and privileges granted to the Corporation by law. The Board shall have the power to delegate to proper officers of the Corporation, or to committees of the Board, the performance of such duties as it may deem appropriate, provided that the following duties shall be deemed non-delegable, and shall be exercised only by the Board: ll to obtain amendment of the Acts of Incorporation, and to amend the By- laws of the Corporation, 2l to authorize, adopt, and approve the annual budget of the Corporation, Sl to determine policies of investments, to make and control investments, 4Ii to incur any indebtedness, provided that this power shall be exercised in true conformity with the provisions of civil law, 5l to select investments, trust companies, and fiduciaries, to receive and handle Corporation monies, funds, and investments, 6l to select an auditor to perform the annual audit, 7l to approve conditions attached to gifts, bequests, and other devices, or to trusts and memorials, and to authorize and establish memorials for benefactors of the Corporation, 8fl to select and employ counsel for the Corporation, 9l to authorize, make and approve major organizational changes within the Corporation, lOl to confer degrees in course and to confer honorary degrees, provided that the award of an honorary degree be approved by the majority of all the members of the Board, Ill to approve all basic policies dealing with governance of the Corporation, 121i to appoint a member of the faculty to the rank of Associate Professor, Professor, and to Professor Emeritus, and to admit faculty to tenure, 13'l to grant sabbaticals.
